Terms of Service

1. Introduction
These Terms of Service (“Terms”) govern your use of the services provided by Drimstack (“we”, “us”, “our”). By engaging our services, you agree to be bound by these Terms.
2. Services
Drimstack provides IT solutions including but not limited to custom software development, web hosting and deployment, ongoing maintenance, and IT support. The specific scope of services will be outlined in a separate agreement or statement of work for each engagement.
3. Subscription Billing & Payment
Certain services are provided on a monthly subscription basis. Subscription fees are billed in advance on a recurring monthly cycle. Payments are processed securely through Stripe.
- Fees are due at the start of each billing period and are non-refundable except where required by law.
- We reserve the right to adjust pricing with at least 30 days’ written notice before the next billing cycle.
- If payment fails, we may suspend access to the affected services until the outstanding balance is resolved.
4. Service Level Expectations
We strive to maintain high availability for all hosted services. While we aim for minimal downtime, we do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where possible.
5. Intellectual Property
Unless otherwise agreed in writing, custom software developed for you is owned by you upon full payment. We retain the right to reuse general-purpose tools, libraries, and techniques developed during the engagement.
The Drimstack name, logo, and branding remain our exclusive property.
6. Your Responsibilities
- Provide timely access to any information, systems, or resources we need to deliver the agreed services.
- Keep your account credentials and access details secure.
- Use our services in compliance with all applicable laws and regulations.
7. Limitation of Liability
To the fullest extent permitted by law, Drimstack shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, arising from your use of our services.
Our total liability for any claim arising from or related to these Terms shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
8. Termination & Cancellation
Either party may terminate an ongoing service agreement by providing at least 30 days’ written notice. Upon termination:
- Access to hosted services will continue until the end of the current billing period.
- We will provide a reasonable window to export or migrate your data.
- Any outstanding fees remain payable.
9. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or through our website. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.
